AI adoption has surged so fast it’s outpacing the ability of most leaders and Boards to govern it. In 2024, enterprise use of AI hit 88 percent. By 2025, nearly 69 percent of organisations listed AI-powered data leaks as their top security concern. Yet close to half of all businesses still operate without any AI-specific security controls.
This isn’t a technology gap. It’s a governance gap.
And governance gaps don’t stay invisible for long. They become breaches, investigations, operational failures, or for Boards – regulatory headaches.
So let’s break it down in plain English.
What this really means is that organisations are running ahead with AI, but the guardrails are still sitting on the desk waiting to be installed.
Shadow AI: The problem NO one wants to admit
Whether you’re a Board Director, CIO, CISO or business owner, you’re likely facing the same pattern: Your employees already use AI, they just don’t tell you.
Recent global data shows:
- Workers in 90 percent of organisations now use AI tools like ChatGPT or Claude.
- 68 percent do it through free or personal accounts.
- 57 percent put sensitive or business-critical information into those AI tools.
- 77 percent copy-paste data directly from documents into AI prompts, and 82 percent do it from unmonitored devices or accounts.
This isn’t happening because people are careless. It’s happening because they’re trying to get their jobs done.
Most organisations unintentionally force employees into “shadow AI” because the official guidance is either unclear, overly restrictive, or simply not implemented.
Here’s the uncomfortable truth: When the business blocks AI, employees find a workaround.
In 2024 alone, enterprise AI usage grew by more than 3,000 percent. During the same period, companies blocked nearly 60 percent of all AI transactions. That tension between productivity and security creates an invisible risk surface that traditional controls were never designed to manage.
It’s not a people issue. It’s a structural one.
Why traditional security controls DON’T work with AI
Most organisations today rely on a mixture of:
- Acceptable Use Policies
- Firewalls and web filters
- DLP (Data Loss Prevention) and endpoint monitoring
- Manual approvals
- “Don’t put sensitive data into ChatGPT” reminders
These things worked before AI became embedded into daily workflows. They don’t work anymore, and here’s why: Penetration testing disrupts that complacency by pressure-testing your environment under realistic conditions.
1. AI doesn’t behave like traditional applications.
AI tools consume and process data differently. When someone types a prompt, uploads a file, or copy-pastes text, that data may be temporarily or permanently stored on infrastructure outside your control.
2. Employees don’t perceive AI as a security risk.
They see AI as a digital coworker (or a copilot). Something to help them finish a report, polish an email, troubleshoot a problem, or analyse a spreadsheet. It doesn’t feel like data leaving the organisation. But it often is.
3. Legacy controls simply can’t see what AI is doing.
If an employee pastes a confidential contract into an AI tool from their personal laptop, no DLP system on earth can prevent that.
4. Policies without enforcement become wishful thinking.
Policies are not governance unless they are:
- enforceable
- measurable
- auditable
- tied to actual business processes
Right now, most organisations only have the policy part. The other pieces? Missing.
The real blind spot: AI without guardrails
· Employees want capability.
· Security teams want control.
· Boards want assurance.
Yet most companies sit somewhere in the middle, with neither capability nor control.
Here’s what the data tells us:
- In March 2024, 27.4 percent of corporate data fed into AI tools was sensitive.
- A year earlier, it was only 10.7 percent.
- That’s a near tripling of sensitive data exposure in 12 months.
And as regulations tighten (EU AI Act, US Executive Orders, rising obligations across APAC), organisations will soon be asked to prove how AI interacts with their sensitive information.
Many aren’t ready. In fact, 55 percent of organisations admit they have no preparedness for AI regulatory compliance. The pace of AI adoption is not waiting for the paperwork to catch up.
What good AI governance actually looks like
Let’s get practical. Governance is not a binder full of policies. Governance is the ability to control, monitor, and evidence how AI touches your data.
A mature AI governance model has four pillars:
1. Secure Access
AI systems should only access data a user is legitimately allowed to access. Nothing more. Nothing less.
This means AI must inherit:
- role-based access
- attribute-based access
- data classification rules
- least-privilege principles
If an employee can’t access a file manually, AI shouldn’t be able to access it either.
2. Data Protection and Handling Rules
Every AI interaction should automatically follow your existing data governance policies:
- encryption rules
- retention periods
- location restrictions
- approved-use cases
- sensitivity labels
- DLP conditions
AI must be unable to override these controls, EVER. Nah, no exceptions.
3. Audit Trails and Accountability
Every AI request should be logged with:
- who made it
- when
- what they accessed
- what the outcome was
- where the data moved
- what the AI tool did with it
This is what regulators care about: provable governance.
4. Prevention of Data Leakage
This is the golden rule. Your data should never leave your control unless your governance rules explicitly allow it. AI shouldn’t become an unmonitored export mechanism. That’s where most breaches happen.
Why this matters to Executives and Boards
Boards are increasingly being held directly responsible for cybersecurity governance. In Australia, Singapore, New Zealand, EU, UK and the US, regulators are shifting from “did you have policies?” to “can you prove your controls worked?”
AI complicates this in three major ways:
1. AI decisions are only as safe as the data used to train and prompt it.
If sensitive or regulated data is fed into public AI systems, you may lose control over it permanently, triggering privacy, contractual, and regulatory liabilities.
2. AI amplifies both productivity and risk.
When AI is used in finance, HR, legal, health, mining, logistics or safety-critical environments, errors or leaks can create operational, legal, and reputational fallout.
3. Boards will soon be measured on AI governance maturity.
Regulators and insurers are already moving in that direction.
If Boards were surprised by the shift in cyber governance expectations over the past five years, AI regulation will feel like “déjà vu”, only faster.
What this means for the CIOs and CISOs
You’re already firefighting cyber risk, cloud expansion, compliance pressure and talent shortages. AI brings a new set of realities.
As a practising CIO/CISO myself, I’m dealing with the same realities every day.
Reality 1: You can’t block your way out of this.
Employees will always choose capability over constraint.
Reality 2: You can’t monitor what you can’t see.
Shadow AI creates data flows your existing tooling cannot detect.
Reality 3: You need an AI security architecture that sits inside your governance framework.
Not next to it. Not after it. Not outside it.
Reality 4: You need controls that are automated, enforceable and auditable.
Manual rules don’t scale with AI adoption.
This is the point where many technology leaders feel stuck. They know the risk is real but lack the tooling or internal clarity to set firm guardrails.
That’s exactly why AI governance is becoming a Board-level conversation.
What This Means for Business Owners and Operators
If you’re running a business in tech, finance, healthcare, retail, legal, construction, mining, education, manufacturing, government or any other for that matter – here’s my 4 point reality check for YOU:
1) AI isn’t optional anymore.
2) Your competitors are already using it.
3) Your employees are already using it.
4) Your customers expect you to use it.
But adopting AI without governance is like hiring staff without background checks. You might get the productivity lift, but you’re taking a risk you can’t see.
A simple way to explain this to YOUR Board
When I brief Boards, I frame it like this:
“AI will become part of every workflow in your organisation. The question is whether you want AI interacting with your sensitive content inside your security boundary, or outside it.”
Boards understand that immediately. I frame it as simple as this – “AI isn’t the risk. Uncontrolled AI is.”
The coming Regulatory wave
AI regulation is tightening globally:
- The EU AI Act is the first full-scale AI law in the world.
- Singapore, Australia, New Zealand and the UK have all released AI governance guidelines tied to risk, accountability, transparency, and safety.
- Nearly every regulator is expected to extend data protection rules to AI interactions.
- Did I also hear something in the media recently – Australian Government is likely to have a new position called Chief AI Officer (CAIO) for all government departments from 2026 onwards – What does that tell you?
The direction is clear: “Organisations must apply existing cybersecurity and privacy rules to AI systems.”
This means:
- provable governance
- documentation
- audit trails
- risk assessments
- third-party oversight
- secure-by-design AI workflows
Leaders who get ahead of this now will avoid the scramble later.
The BUSINESS case for getting AI governance RIGHT
There’s a strong financial incentive here.
Organisations with strong AI and automation capabilities in their cybersecurity programs reported:
- average breach costs of $3.84 million,
- saving nearly $1.88 million compared to organisations without AI governance.
Why?
Because well-governed AI:
- reduces human error
- improves response times
- enhances pattern detection
- cuts operational noise
- stabilises workflows
- prevents data leakage
AI isn’t a security threat when it operates within secure boundaries.
That’s the entire point.
So where do organisations start?
Here’s a simple 5-step roadmap that I use with clients, from small businesses to ASX-listed companies.
Step 1: Identify your Shadow AI footprint

- what data they’re entering
- which workflows use AI unofficially
- where high-risk behaviours exist

Also I have to mention this, every organisation will have a policy that aligns with its organisational maturity. Start simple for an organisation that is maturing or has a low score.

- which tools are approved
Step 4: Automate Enforcement

This removes the burden from staff and puts governance where it belongs — in the system, not in the employee’s memory.

- governance exceptions

- Security spending tied to AI will increase by more than 15 percent through 2025.
This wave is not hypothetical. It’s already here.
The organisations that win in the next decade will be the ones that:
- enable AI
- govern AI
- automate controls
- create safe pathways
- eliminate shadow AI
- embed accountability
And they’ll do it in a way that keeps their competitive edge intact. If there’s one message I want leaders to walk away with, it’s this:
“AI doesn’t require choosing between innovation and security. It requires infrastructure that supports both.”
That’s the future of AI governance.
And it’s the only sustainable path forward for any organisation that wants to use AI responsibly, without losing control of its most valuable asset: its data.
